Acceptance of Terms

By accessing or using the NeonArchitect workforce management platform and related services (the "Service"), you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and NeonArchitect S.A. ("Company", "we", "us", or "our"), a company registered in Spain with registration number B61523497.

If you do not agree to these Terms, you may not access or use the Service. By using the Service, you represent that you have the legal capacity to enter into this agreement and that you are at least 18 years of age.

Description of Service

NeonArchitect provides a cloud-based workforce management platform specifically designed for the construction industry. Our Service includes features for team management, time tracking, safety compliance, performance analytics, and related workforce management tools.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice, though we will make reasonable efforts to provide advance notice of significant changes that may affect your use of the Service.

User Accounts and Registration

To use certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary to maintain its accuracy.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorised use of your account or any other breach of security.

User Obligations and Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not:

• Use the Service for any illegal or unauthorised purpose
• Violate any applicable laws or regulations
• Interfere with or disrupt the Service or servers connected to the Service
• Attempt to gain unauthorised access to any part of the Service
• Upload or transmit viruses or other harmful computer code
• Harass, abuse, or harm other users of the Service
• Use the Service to infringe upon the rights of others
• Reverse engineer, decompile, or disassemble any part of the Service

Subscription and Payment Terms

Access to certain features of the Service requires a paid subscription. Subscription fees are charged in advance on a monthly or annual basis and are non-refundable except as expressly provided in these Terms or as required by applicable law.

We reserve the right to change our pricing at any time. If we change the price of your subscription, we will provide you with reasonable advance notice and the opportunity to cancel your subscription before the price change takes effect.

Intellectual Property

The Service and all content, features, and functionality thereof are owned by NeonArchitect and are protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to use the Service in accordance with these Terms.

You retain ownership of any data, content, or materials you upload to or create using the Service ("User Content"). By using the Service, you grant us a licence to use, store, and process your User Content as necessary to provide the Service.

Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your information as described in our Privacy Policy.

Limitation of Liability

To the maximum extent permitted by applicable law, NeonArchitect shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of the Service.

In no event shall our total liability to you for all damages exceed the amount paid by you to us in the twelve (12) months preceding the event giving rise to the liability.

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

Indemnification

You agree to defend, indemnify, and hold harmless NeonArchitect and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to legal fees) arising from your use of the Service or violation of these Terms.

Termination

Either party may terminate this agreement at any time with or without cause. You may terminate your account by cancelling your subscription through the Service or by contacting us. We may terminate your access to the Service immediately, without prior notice, for any violation of these Terms.

Upon termination, your right to use the Service will cease immediately. We will make reasonable efforts to provide you with access to export your data for a period of thirty (30) days following termination, after which your data may be deleted from our systems.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of Spain, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of Alicante, Spain.

If you are a consumer residing in the European Union, you may have additional rights under applicable consumer protection laws, and nothing in these Terms shall limit such rights.

Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes to these Terms, we will notify you by email or by posting a notice on our website. Your continued use of the Service after such notification constitutes your acceptance of the modified Terms.

Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect. The failure to exercise any right or provision of these Terms shall not constitute a waiver of such right or provision.
